Odoardo Soul™ terms

These terms govern the sale of an Odoardo Soul™ object or set of objects and the service that maintains the digital experience assigned to them.

The contract covers two separate performances: the one-off sale of the object or set of objects and a subscription settled monthly.

The subscription applies only to a standalone Odoardo Soul™ object. The Odoardo Soul™ AI assistant of another product — an Odoardo Alibi™ box or an Odoardo Art™ work, opened through the microchip — carries no subscription of its own. Its upkeep is included in the price of that order, subject to the “Termination by the Operator” clause of the General Terms. The “What it is”, “Changing the content”, “A conversation held by artificial intelligence”, “The disclosure shown to guests”, “Limits of the answers”, “Licence to the Operator”, “Prohibited content”, “On the guest's side” and “Coverage and devices” clauses of these terms apply accordingly to the AI assistant of an Odoardo Alibi™ box, and changes to its content remain available for as long as it operates. Only the “What it is”, “The disclosure shown to guests”, “On the guest's side” and “Coverage and devices” clauses of these terms apply accordingly to the AI assistant of an Odoardo Art™ work. It answers on the basis of materials supplied by the work's artist, and its content is set and changed by the Operator. The Operator is the controller of the data of guests talking to the AI assistant of a box or a work, on the terms of the Privacy policy.

Matters not regulated here are governed by the Sales Terms and the General Terms.

The objects in the chosen forms and number: a solid oak cube with a hidden microchip, with a 5 cm or 10 cm edge, and the microchip alone for you to fit. You may combine the forms in one order. The price of the objects includes entering the content and configuration.

Where the order includes engraving with wording you specify (a dedicated implementation ordered in Odoardo Atelier™), you approve the wording before production, and it cannot be changed once approved.

In the cube the microchip is permanently fitted. The version supplied for self-fitting is fitted by you. The Operator is not liable for the experience failing to work because the chip was fitted improperly or damaged during fitting, unless it was fitted in accordance with the instructions we supplied or those instructions were defective, nor for its failing to work because of an attempt to remove the chip from the cube, reprogram it or copy it.

Bringing a phone close to the object opens, in the phone's browser, a conversation window with the AI assistant assigned to that object.

Throughout the subscription you may ask at any time for the content assigned to the object to be changed. The Operator's team makes the changes free of charge, on a request made in Odoardo ID™.

The address at which the experience opens remains managed by the Operator. We do not transfer it to you and do not guarantee that it stays unchanged after the subscription ends.

The AI assistant answers on the basis of the content you supply. A guest may ask a question by voice and listen to the answer. The details are set out in the notice on the use of artificial intelligence.

You may not remove the statement that the answers come from an artificial intelligence system and not from a person. Nor may you ask us to prepare the AI assistant so that it passes itself off as human.

The AI assistant's answers are not declarations of will made on your behalf towards your guests, and your own conditions and prices remain the binding ones.

The subscription covers maintaining the experience's address, storing the assigned content, maintaining the AI assistant and making changes to the content.

The subscription is settled in monthly periods. The fee is one amount for the whole set of objects, not a rate multiplied by the number of objects: it is set by the bracket into which the total number of objects covered by the order falls, on the terms of the Sales Terms. Objects ordered later, in a separate order, form a separate set with a fee of its own.

Bringing the experience back to life after the paid period ends requires ordering the subscription again, which you request in the “Help” tab of Odoardo ID™.

Content assigned to the object is kept for 90 days after the subscription ends, so that ordering the subscription again within that time does not start from nothing. After that we anonymise it.

You grant the Operator a free, non-exclusive licence, for the time the service is provided and the content is stored and without territorial limits, to reproduce the supplied materials digitally, including storing them in computer memory, and to make them available to the public in such a way that anyone may access them from a place and at a time of their choosing, only as far as providing the service requires. Within the same scope you permit the materials to be adapted — in particular shortened, reorganised, split and standardised in form — so that the AI assistant can use them in conversation, and you permit those adaptations to be disposed of and used. By supplying the materials you declare that you hold the rights allowing their use to this extent.

The experience may not contain content misleading as to the identity of the place. The AI assistant's knowledge may not contain data concerning health.

Blocking unlawful content under the “Restrictions on our own initiative” clause of the General Terms does not release you from the fee for the current period.

The roles in processing guests' personal data are set out in the data processing agreement and, where you use the object for personal or household purposes, in the privacy policy.

Opening the experience requires a phone able to read the microchip.

The Operator is not responsible for a lack of coverage, hardware limitations of the guest's phone, or system settings blocking the read.

The right of withdrawal and the complaints procedure are set out in the Sales Terms. The exceptions to the right of withdrawal are set out in its “Statutory exclusions” clause.
