§ 1. Subject of the contract
These terms govern the sale of works delivered regularly under Odoardo Art™ — a quarterly subscription to curated art.
For every quarter paid for you receive a numbered and signed fine art print in an oak mini frame, the microchip assigned to it that opens the work's AI assistant (Odoardo Soul™), a magnetic stand, mounting tape and a letter from the artist, signed by hand. The work's AI assistant is governed by the provisions indicated in the “Odoardo Soul™ in other products” clause of the Odoardo Soul™ Terms.
The first shipment also contains an oak main frame for each frame covered by the order, a magnetic base and mounting tape.
We enclose a certificate of authenticity with the shipment of the fourth-quarter chapter, and it is also available in Odoardo ID™. It lists the works released in that calendar year, their numbers and their artists. The certificate for a year is issued only together with the release of that year's fourth-quarter chapter. If that chapter is not released, in particular because of a pause or because the subscription has ended, no certificate is issued for that year.
We charge neither a separate fee nor a deposit for the oak main frame.
§ 2. The curatorial cycle
The cycle is divided into chapters matching calendar quarters. Every chapter paid for ends with one work released for each frame covered by the subscription.
You state the number of frames when ordering. You increase it by placing a new order, which opens a chapter already in the current quarter. You ask to reduce the number of frames in the “Help” tab of Odoardo ID™. The change applies to the chapters whose fee has not yet been charged.
We ship the works once the selection for a chapter closes, to the address given in the order or changed later in Odoardo ID™.
§ 3. Choosing the work
You choose the work yourself from the catalogue or, once per chapter and while the selection deadline runs, send in Odoardo ID™ from 1 to 5 photographs of your interior and ask us to propose a work for each frame. You accept the proposal or change the choice for the frames you pick.
You submit your choice in Odoardo ID™ within the deadline given for the chapter. When we send you a proposal of works, the deadline is extended so that you have at least 7 days to answer.
If you do not choose a work in time, the curator will select one, guided by the profile of your collection so far. If our proposal is waiting for you and you do not answer it in time, that proposal becomes your choice. A missing choice suspends neither the charge nor the release.
We set no ceiling on the size of an edition. The catalogue does change, though: when the collaboration with an artist ends, their work can no longer be chosen, and copies made earlier are released only to those who chose it before that moment, until they run out. Where the chosen work stops being available before fulfilment, the “If the artist cannot deliver the work” clause applies.
If for any reason on the artist's side, including illness, death or the artist ending the collaboration, we cannot deliver the chosen signed work in time, we inform you without delay. You then choose between waiting for the same work until a new date we give you, another work from the catalogue at the same price, or a refund of the part of the chapter's price attributable to that frame. Waiting is not available where the collaboration with the artist has ended and no copies of that work are left. Beyond that, the Operator's liability is set out in the “Limits of the limitation” clause of the General Terms.
§ 5. Pausing
You can pause the curatorial cycle free of charge for the nearest quarter. We do not limit the number of pauses, and pauses may follow one another directly.
For a paused chapter we charge no fee and release no work.
You switch the pause on in Odoardo ID™ before the fee for the chapter concerned is charged. A pause does not cover a chapter already paid for.
After the pause the cycle resumes automatically, with no activation fee.
§ 6. Ownership and copyright
Released copies and the main frame are your property, including after the subscription ends.
Acquiring a copy does not transfer economic copyright. It remains with the artist, and the Operator releases prints under a non-exclusive licence granted by the artist on the terms of the Artist Collaboration Terms.
Every work in the catalogue has an author who is a human being.
You may display your copy, including in a commercial space, and resell it. Beyond permitted use, reproducing the work and disseminating its reproductions require the artist's consent.
Prints are numbered and signed in pencil by the artist. The signature is part of the work, so we neither remove it nor add to it on request.
