Odoardo Lens™ terms

These terms govern the provision of the Odoardo Lens™ service.

Matters not regulated here are governed by the Sales Terms and the General Terms.

Odoardo Lens™ guides a guest through a recording scenario running in the browser and then automatically assembles the shots into a video postcard carrying the identity of the place.

Implementation covers configuring the brand and the film's scenario. We carry it out once you supply your identity materials and guidelines.

A video postcard is film material assembled by the Operator from shots recorded by a guest in your space. It is the unit of settlement of the service. A recording from which no montage was produced is not a video postcard and does not enter the settlement.

The montage is automatic and follows the fixed rules of the scenario. It assembles the shots the guest recorded into a film that follows the scenario and gives it a consistent treatment. Every video postcard closes on an end card with the name of your place and, if you supply it, its logo.

The montage creates no image and no statement that the guest did not record, does not alter the likeness of anyone in the frame, and puts words into nobody's mouth. Everything seen or heard other than the guest's own shots — B-roll, graphic treatment, music — comes from material you supplied or from our library, and is recognisable as such.

We may lay under the film a piece from our library for which we hold a licence covering synchronisation and commercial use. You may also bring your own piece. You then declare that you hold a licence permitting its use in your space's video postcards, their sharing by guests and the grant to the Operator of the licence described in the “Licence to the Operator” clause, and we use it in your films alone. A third party's claim over a piece you brought is governed by the “Third-party claims” clause of the General Terms. A film with no music is an equally correct result of the service and is not a defect in it.

The service limits neither the number of places in which you offer the recording scenario nor the number of guests who use it. You decide where to place welcome cards and frame anchors, and how many to use.

For the materials you supply to the service, in particular a logo, B-roll and your own music, you grant the Operator a free, non-exclusive licence to reproduce them digitally, including storing them in computer memory, to adapt them in the montage and the end card, and to make the finished video postcards available to guests, only as far as providing the service requires.

The remuneration comprises a flat monthly base fee, the usage settlement for a closed month, and one-off charges for welcome cards and frame anchors. The amounts, the allowance of video postcards and the usage brackets are set out in the price list on the Odoardo Lens™ service page. The base fee does not depend on the size of your space or on the number of guests.

The base fee includes an allowance of video postcards in a calendar month. A month in which the number of video postcards did not exceed the allowance carries no additional settlement at all. Above the allowance we charge a usage settlement in fixed brackets, with no per-unit rate. The bracket amount is the only amount added for that month, and the highest bracket also sets the most expensive month there is. We charge the settlement to the same payment method as the base fee. It counts the video postcards assembled in the month concerned. Blocking or deleting a video postcard later does not reduce the settlement for the month in which it was produced — the montage was carried out.

If a usage settlement cannot be charged, we tell you so by e-mail and try again. That message is not a call to pay within the meaning of the “Failed payment” clause of the Sales Terms, and arrears in the usage settlement do not by themselves end the contract.

The monthly ceiling is 1500 video postcards. Reaching it stops new recording scenarios from starting until the end of the calendar month, not the montage of recordings already started. Those we assemble and deliver unchanged.

We charge no separate fee for implementation and brand configuration.

The base fee is charged for monthly billing periods counted from the day the order was paid. Usage is settled for calendar months, according to the time in force in Poland, after the month it concerns has closed. The usage settlement for the first calendar month of the collaboration is therefore charged in the following month.

The current number of video postcards in the running month, the bracket it falls into, and the history of closed months are shown to you in Odoardo ID™.

You order Odoardo Lens™ welcome cards in multiples of 100. You order frame anchors individually.

Welcome cards and frame anchors become your property on payment. Whether they work, however, depends on the service being active.

We print every Odoardo Lens™ welcome card in the style of your brand, from the materials you supply, so the cards are objects made to your specification and the right of withdrawal does not apply to that part of the order (Article 38(1)(3) of the Polish Consumer Rights Act). Frame anchors are catalogue pieces, and the right of withdrawal covers them on the terms of the Sales Terms.

The guest decides what happens to a recording. The video postcard opens at an individual address given to the guest, and it is the guest who chooses whether to keep it or share it. The Operator does not publish it of its own accord.

Before recording, the guest makes a statement consenting to their shots being edited into a video postcard with your place's graphic treatment and music, to the finished film being made available to them at an individual address, and to the use of their likeness for that purpose (Article 81 of the Act on Copyright and Related Rights). Recording does not start without that statement. The guest may also, separately and freely, consent to your brand using the finished film in its communication, for example on social media. Where that consent has been recorded, as shown beside the video postcard in Odoardo ID™, you may use that video postcard in your own communication within the scope of that consent. Without it, you may use a guest's recording in your own communication only on the basis of a consent you have yourself obtained from that guest — both to disseminate their likeness and to use the recording as a work. The Operator grants you no rights to a guest's likeness or to their recording beyond the scope of the consent the guest gave.

You may block and delete any video postcard in Odoardo ID™.

If the Operator blocks or deletes a recording, we notify you by e-mail and give the reason.

The raw shots a guest uploads are deleted 60 days after upload. The assembled video postcard is kept for the duration of the contract and deleted within 30 days of the contract's end, unless you ask for earlier deletion. At your request we hand the video postcards over to you before deletion, in line with the “What happens to the data afterwards” clause of the processing agreement.

For materials assembled by the Operator within the service you receive a non-exclusive licence, unlimited in time and territory, to use them for your own and commercial purposes, in the fields of exploitation covering digital reproduction, making them available to the public so that anyone may access them at a place and time of their choosing, including on social media, and public display and playback. The licence covers the Operator's contribution: the montage, the end card, and the B-roll and graphic treatment from our library. You use the music on the terms of its own licence. Music from our library may not be extracted from the film or used separately. The licence does not cover the guest's shots or likeness: you use them only on the terms of the “Scope of your rights” clause. To the extent that an automatically produced montage is not a work within the meaning of copyright law, this licence stands as permission to use the material on the same conditions.

You are under no obligation to credit Odoardo™ in your communication.

The service is not intended for recording data concerning health. You do not place welcome cards or frame anchors in surgeries, treatment rooms or other rooms where healthcare is provided or examinations or treatments are carried out, and the recording scenario may not ask a guest for information about their health. A medical practice or clinic may also use the service, but only in spaces where a recording does not reveal a guest's state of health, for example in the reception or a common area.

The roles of the parties as to guests' personal data are set out in the data processing agreement and, where you use the service for personal or household purposes, in the privacy policy.

We are not responsible for a lack of coverage in your space, for limitations of guests' phones, or for outages at connectivity providers.

The usage settlement for the preceding month, where it has not yet been settled, is charged at the moment of cancellation. Video postcards made from the start of the current month until the end of the paid billing period of the base fee are settled once the month in which they were made has closed or, if the service ends earlier, when it ends.

Once the contract ends, welcome cards and frame anchors stop opening the recording scenario and the scenarios are switched off.

If you are an entrepreneur other than an entrepreneur with consumer-like protection, we are not liable to you for the consequences of business decisions taken on the basis of materials produced in the service.
